Agreement to Terms

By accessing or using Perform ("the Platform"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access or use our services.

Description of Services

Perform is an AI-powered platform that connects brands with creators for marketing campaigns. Our services include:

  • AI-powered creator matchmaking
  • Campaign management and execution tools
  • Real-time performance tracking and analytics
  • Payment processing and transaction management

User Accounts

Account Creation

To use our Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

Account Responsibilities

  • You must be at least 18 years old to use our services
  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized access
  • You may not share your account with others

Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or viruses
  • Harass, abuse, or harm other users
  • Manipulate or game the platform's systems
  • Use the platform for fraudulent purposes
  • Scrape or collect data without authorization
  • Impersonate others or provide false information

Payments and Fees

For Brands

Brands agree to pay all fees associated with campaigns as outlined in their campaign agreements. Payment is due according to the terms specified at campaign creation.

For Creators

Creators will be paid according to the terms of their accepted campaigns. Perform may charge a platform fee as specified in the creator agreement. Payments are processed after campaign deliverables are completed and approved.

Refunds

Refunds are handled on a case-by-case basis. If a creator fails to deliver agreed-upon content, brands may be eligible for a refund. All refund requests must be submitted within 30 days of the issue.

Intellectual Property

Platform Content

All content on the Platform, including text, graphics, logos, and software, is owned by Perform or its licensors and protected by intellectual property laws.

User Content

You retain ownership of content you create or upload. By using our Platform, you grant us a non-exclusive, worldwide license to use, display, and distribute your content for the purpose of providing our services.

Campaign Content

Rights to campaign content are determined by agreements between brands and creators. Perform does not claim ownership of campaign deliverables.

Disclaimers and Limitations

Service Availability

We strive to provide uninterrupted service but do not guarantee the Platform will always be available. We may modify, suspend, or discontinue services at any time without liability.

No Warranties

The Platform is provided "as is" without warranties of any kind. We do not guarantee specific results from using our services, including campaign performance or ROI.

Limitation of Liability

To the maximum extent permitted by law, Perform shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid us in the past 12 months.

Dispute Resolution

Between Users

Disputes between brands and creators should be resolved directly between the parties. While we may provide assistance, we are not responsible for resolving user disputes.

With Perform

Any disputes with Perform should first be addressed through our support team. If unresolved, disputes will be handled through binding arbitration in accordance with applicable arbitration rules.

Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms and Conditions
  • Fraudulent or illegal activity
  • Abuse of the Platform or other users
  • Non-payment of fees

You may terminate your account at any time by contacting support. Upon termination, you remain responsible for any outstanding obligations.

Indemnification

You agree to indemnify and hold harmless Perform, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from your use of the Platform, violation of these terms, or infringement of any rights of others.

Changes to Terms

We may update these Terms and Conditions from time to time. We will notify you of significant changes by posting the new terms on this page and updating the "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the new terms.

Governing Law

These Terms and Conditions are governed by and construed in accordance with applicable laws. Any legal action or proceeding shall be brought exclusively in the appropriate courts.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
